Free Trial Terms

These Free Trial Terms are an agreement between you and Axiom Sales Kinetics, LLC ("Axiom," "we," "us," or "our") that governs your free trial of the Axiom Kinetics platform (the "Platform"). You accepted these terms when you registered for the trial. If you do not agree to them, do not use the trial.

These terms cover the free trial only. They are not a subscription agreement. Paid use of the Platform is governed by a separate Order Form and the Axiom Subscription Terms.

1. The Free Trial

Your free trial gives you access, at no charge, to the Axiom skill paths we make available for trial — currently up to five. We may change which skill paths are available for trial at any time, at our discretion.

The trial runs for 30 days from the date your trial account is created. When the 30 days end, your access to the Platform ends.

We may suspend, limit, modify, or end your trial — or the trial program as a whole — at any time and for any reason, with or without notice. The trial is provided as an evaluation opportunity. It does not obligate you to purchase anything, and it does not obligate Axiom to provide any paid service.

2. Your Account and Acceptable Use

Your trial account is for your individual use. Keep your login credentials secure and do not share them or let anyone else use your account. You are responsible for activity that occurs under your account.

You will not: (a) interfere with or disrupt the Platform or its security; (b) attempt to gain unauthorized access to the Platform, other accounts, or related systems; (c) upload viruses or other harmful code; or (d) use the trial for any unlawful purpose.

3. Intellectual Property

All content, materials, methodology, frameworks, models, worksheets, scenarios, software, and other materials made available through the Platform (the "Axiom Content") are owned by Axiom and protected by intellectual property law. Axiom owns all rights in the Axiom Content, including any updates and derivative works of it.

For the duration of your trial only, Axiom grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Axiom Content solely for your own personal evaluation and learning. This license ends when your trial ends.

You may not, during or after the trial:

(a) copy, reproduce, distribute, publish, sell, or commercially exploit any Axiom Content;
(b) create any derivative work of the Axiom Content;
(c) create, host, deliver, sell, or distribute any training, learning, coaching, or development program, course, curriculum, or content — whether live, virtual, or online — that is based on, derived from, or incorporates any Axiom Content or the Axiom methodology;
(d) use any Axiom Content, the Axiom methodology, or any output or derivative of them to train, fine-tune, develop, test, or build any artificial intelligence or machine learning model, system, agent, or tool;
(e) reverse engineer any Axiom software, or remove or alter any proprietary notice; or
(f) use the Axiom Content for any purpose other than your own evaluation and learning during the trial.

Nothing in the trial transfers any ownership of Axiom Content to you, and no rights to the Axiom Content survive the end of your trial.

4. No Warranty

THE PLATFORM AND ALL AXIOM CONTENT ARE PROVIDED FOR THE TRIAL ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AXIOM DOES NOT WARRANT THAT THE TRIAL WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AXIOM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE TRIAL. BECAUSE THE TRIAL IS PROVIDED AT NO CHARGE, AXIOM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE TRIAL OR THESE FREE TRIAL TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

6. End of the Trial; Your Data

When your trial ends, your access to the Platform ends and your trial account is archived. Axiom retains the data associated with your trial account in accordance with the Privacy Policy; it is not automatically deleted. You may request deletion of your data at any time by contacting us at the address in Section 9.

There is no automatic conversion from a trial to a paid subscription, and your trial progress and data do not carry forward into any paid subscription. If you decide to become a paying client, that is arranged separately through an Order Form with Axiom, and paid use begins fresh under the Axiom Subscription Terms.

7. Privacy

Axiom's collection and use of your personal information in connection with the trial is governed by the Privacy Policy.

8. Changes; Governing Law

We may update these Free Trial Terms from time to time by posting an updated version and revising the "Last Updated" date. These Free Trial Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, and any dispute will be brought exclusively in the state or federal courts located in Dallas County, Texas.
